  1. Change the brackets. Fill anything still in [BRACKETS], such as the contact for notices and the start date, before it leaves your hands.
  2. Check the commission against the site. 25% is a public-bid median. A small office or laundromat usually signs 0% to 5%. Run it through the commission rate checker first.
  3. Get it reviewed. Have a lawyer licensed in your state read the draft once, then reuse the reviewed version for every placement.

Is this vending placement agreement legally binding?

A signed agreement can be, which is exactly why you should have a lawyer licensed in your state read the draft before anyone signs. The generator gives you a clear starting point with the clauses operators usually need. It does not know your state’s contract law, your insurance policy or the property’s own lease terms.

What commission should I put in a vending agreement?

The tool defaults to 25%, the median single rate in the 7 public government and campus contracts we reviewed that state one (range 10% to 52%). Those are large, bid accounts. Small private sites usually sign far less, often 0% to 12%, so check your number with the commission rate checker before you send it.

How much insurance does a vending placement agreement require?

Every public vending document in our review that names a general-liability amount asks for $1,000,000 per occurrence (n=7), and 4 of them add a $2,000,000 aggregate. Private properties often ask for the same, plus being named as additional insured on your certificate.

Who pays for electricity for a vending machine?

The location, in most placements. The generator defaults to that and lets you switch to a flat monthly amount you pay instead, or to no power for manual machines. Either way the clause also asks for a grounded outlet within six feet, which is what actually saves install day.

How long should a vending contract term be?

Three years with automatic one-year renewals is the common shape, and it matches the 3-year median initial term in the public contracts we reviewed (n=21). A shorter term is fine for a test placement as long as the renewal and notice language is clear.

Does a vending agreement need to be notarized?

Almost never. Two signatures with printed names and titles, plus your Certificate of Insurance as an attachment, is what most property managers want. A few corporate landlords require a verified e-signature or a notary; they will tell you if so.
